1. Nature of the Platform

Healz.ai is a self-directed web platform that enables users to anonymize documents, ask health-related questions to AI, and connect with independent, licensed Health Specialists or Medical Centers. Users retain full control and responsibility for how they use the platform and any interactions with third-party providers.

Healz.ai does not provide medical advice, diagnosis, treatment, or prescription services, and is not a healthcare provider. The platform is a technology intermediary.

2. No Medical Advice or Clinical Relationship

2.1. Healz.ai does not provide medical care. All professional judgment, including the decision to issue, modify, or deny a certificate, rests exclusively with the consulting Health Specialist.

2.2. All outputs, including AI responses are general, educational, and non-clinical in nature. They are for informational purposes only.

2.3. You must not use the platform as a substitute for in-person medical advice, diagnosis, or care from a licensed provider.

3. Platform as Intermediary; Limitation of Services

3.1. Healz.ai does not operate as a Health Specialist or Medical Center and does not provide Health Services. We are a mere intermediary and provider of technical services.

3.2. Any agreement or interaction for Health Services is made solely between you and the Health Specialist or Medical Center. Healz.ai is not a party to such agreements.

3.3. Healz.ai has no responsibility for the quality, accuracy, timeliness, or outcome of Health Services, or for the actions or omissions of Health Specialists or Medical Centers.

3.4. Any complaint relating to Health Services must be directed solely to the third‑party provider.

4. Not for Emergencies or High‑Stakes Use

The platform is not intended for emergencies, critical care, or high‑risk situations. You agree not to use it where delay, inaccuracy, or generalization could result in harm.

5. User Data: Uploads, Redaction, and Processing

5.1. You are solely responsible for all content you upload.

5.2. Optional redaction tools are provided "as is" and without guarantees.

5.3. Upload Responsibility and Data Acknowledgement (FINAL)

By uploading content, you confirm and agree that:

  • You have the legal right and required consents to submit the content;
  • You accept full legal and ethical responsibility for the uploaded data;
  • You understand that data may be processed by AI systems and, if you engage a Health Specialist, shared with that third party.

You acknowledge that any personal data or health‑related information you voluntarily submit through the Platform is provided at your own initiative.

Nothing in these Terms limits or excludes your mandatory rights under applicable data protection laws, including the UK GDPR and EU GDPR.

You understand and accept that submission of information may carry inherent privacy risks despite reasonable technical and organisational safeguards.

6. Subprocessors and Data Handling

6.1. To operate the platform, Healz.ai may transmit or temporarily store uploaded data with trusted subprocessors, solely for technical functions such as:

  • Cloud hosting and infrastructure
  • AI model inference and computation
  • Load balancing and caching
  • Platform security and fraud prevention

6.2. Healz.ai does not independently audit each subprocessor against every regulatory or industry standard. However, Healz.ai requires its subprocessors by contract to maintain commercially reasonable data protection and security safeguards appropriate to the services they provide.

6.3. Healz.ai does not use uploaded content for model training, analytics, or commercial reuse unless you explicitly opt in.

7. Data Retention and Deletion

7.1. Healz.ai retains your uploaded content and associated data only for as long as necessary to provide the platform's services, comply with legal obligations, resolve disputes, and enforce these Terms.

7.2. Upon account deletion or written request to [email protected], we will delete or anonymize your personal data within thirty (30) days, except where retention is required by law or necessary for legitimate business purposes (such as fraud prevention or dispute resolution).

7.3. You may request access to, correction of, or deletion of your personal data by contacting [email protected]. We will respond to such requests within a reasonable timeframe, typically within thirty (30) days.

7.4. You acknowledge that once data has been shared with a Health Specialist or Medical Center, Healz.ai has no control over that third party's retention practices. Any requests concerning data held by such third parties must be directed to them.

7.5. Backup copies of data may persist in our systems for a limited period following deletion, but will not be actively processed and will be permanently removed in accordance with our standard data lifecycle procedures.

8. AI and Third‑Party Specialist Outputs

8.1 AI Disclaimer: Healz.ai uses large language models that may produce inaccurate, incomplete, or misleading information. AI is frequently incorrect and prone to hallucination. You are solely responsible for verifying all AI output with a licensed healthcare provider. Healz.ai bears no responsibility for decisions made based on AI output.

8.2 Third-Party Specialist Information: As noted in Section 3, any information provided by a Health Specialist or Medical Center through the platform is their sole responsibility. Healz.ai does not endorse, verify, or guarantee the accuracy, completeness, or clinical validity of such information. It is offered as an informational resource only — not as a substitute for qualified, in-person healthcare.

8.3. A limited number of our authorized personnel may review how you use the Service and your User Content for specific business purposes, including improving product features, investigating security incidents and potential misuse of our Services, and complying with our legal obligations.

8.4. We constantly evaluate the performance of the AI Technology to improve its performance. For quality assurance, the Healz.AI analyzes some but not all of the Input and Output for validity and effectiveness. We also audit the Output to mitigate potential algorithmic discrimination. We invite you to provide feedback if you believe Output is discriminatory or inappropriate for your personal circumstances so that we can improve the AI Technology.

8.5. You acknowledge and agree that, in addition to the limitations and restrictions set forth in this Agreement, there are numerous limitations that apply with respect to AI Technology and the Output it generates, including that (i) it may contain errors or misleading information and may not be accurate or reliable; (ii) AI Technology operates based on predefined algorithms and lacks the ability to think creatively or generate entirely new ideas, which may result in repetitive or formulaic content; (iii) AI Technology can struggle with understanding the nuances of language, including slang, idioms, and cultural references, which can result in generated content that is out of context or does not make sense; (iv) AI Technology does not possess emotional intelligence and cannot understand or convey emotions in the manner that a human can, potentially resulting in content that lacks empathy; (v) AI Technology can perpetuate biases that are present in the data used to train them, which can result in generated content that is discriminatory or offensive; (vi) AI Technology has limitations in handling tasks that require complex reasoning, judgment, and decision-making skills; (vii) AI Technology require large amounts of data to train and generate content, and the data used to train AI Technology may be of poor quality or biased, which will negatively impact the accuracy and quality of the generated Output; (viii) LLMs are known to hallucinate and at times return false information. If you have concerns, questions, or doubts about the quality or accuracy of the Output, you can asynchronously connect with a Health Specialist; and (ix) Even though AI sometimes uses words like "diagnosis", you understand that AI cannot provide a diagnosis as it is not human or a licensed doctor and cannot write prescriptions.

8.6. Independent Health Specialists, acting outside the Healz.ai platform and under a separate professional engagement with the user, may provide certain clinical services. The purposes of making Health Specialists available include: providing medical advice, providing Services that the AI Technology cannot (e.g., writing prescriptions, ordering labs, diagnosing medical conditions, etc.).

8.7. While we attempt to make the AI Technology as useful and appropriate as possible by reviewing Output for quality assurance and improvements as described above, we do not review every Output nor do we guarantee the accuracy or appropriateness of the Output for your personal circumstances. When you consult with a Health Specialist, they may disagree with the Output. You should ask the Health Specialist about the specific Output generated by the AI Technology if you want a professional opinion.

8.8. For the avoidance of doubt, Healz.ai does not itself provide medical care, diagnosis, or treatment. Any clinical services, including diagnosis, prescriptions, laboratory orders, or medical advice, are provided exclusively by independent Health Specialists under a separate professional engagement between the Health Specialist and the user. Healz.ai's role is limited to providing a technology platform and does not control, direct, or supervise clinical decision‑making.

9. Paid Features & Billing

9.1. Certain features of the platform — including connections to or services from Health Specialists — may be offered on a paid basis. By purchasing or accessing any paid feature, you agree to:

  • The pricing and payment terms displayed at the time of transaction.
  • One-time and/or recurring charges as applicable
  • No entitlement to refunds unless explicitly stated or required by law
  • No guarantee of outcome quality or satisfaction with third-party services

9.2. Healz.ai reserves the right to modify pricing, discontinue paid features, or limit access based on operational needs.

10. Eligibility and Age Restrictions

10.1. You must be at least 18 years old to use the platform.

10.2. If you submit content on behalf of a minor or third party, you confirm you have full legal authority and accept all responsibility.

11. Geographic and Legal Compliance

11.1. We do not guarantee that the platform or the services of third-party Health Specialists comply with healthcare, data, or telemedicine laws outside their or your jurisdiction.

11.2. You are responsible for ensuring that your use of the platform is lawful in your jurisdiction.

12. Acceptable Use

You agree not to:

  • Upload illegal, defamatory, or abusive content.
  • Attempt to reverse-engineer, scrape, or misuse the platform
  • Exploit outputs for commercial or deceptive purposes
  • Harass or abuse Health Specialists or other users

Violation of these terms may result in immediate account termination.

13. Intellectual Property

13.1. Healz.ai, its models, interface, code, and design are the property of MAIA AI LTD or its licensors.

13.2. You retain ownership of your uploaded content but grant Healz.ai a limited, non-exclusive license to process it solely for platform operation.

14. Limitation of Liability

Healz.ai shall not be liable for any decisions, actions, or outcomes resulting from the use of information provided through the Platform, including any reliance on content generated by artificial intelligence or Health Specialists.

Users remain solely responsible for all decisions concerning their health, wellbeing, or actions taken based on information accessed via the Platform.

Healz.ai's total liability shall not exceed the amount paid by you to Healz.ai in the three (3) months preceding the claim, or £50 GBP, whichever is higher.

15. No Provision of Medical Services; No Duty of Care

Healz.ai is an information and technology platform only and does not provide medical care, diagnosis, treatment, or other healthcare services.

Any medical services, including consultations, diagnoses, prescriptions, laboratory orders, or other clinical activities, are provided solely by independent Health Specialists under a separate professional relationship between the user and the Health Specialist. Healz.ai is not a party to, and does not assume any responsibility for, such relationships or services.

Healz.ai does not assume, and no clinical or medical duty of care is created or implied between Healz.ai and any user. All clinical responsibility rests exclusively with the relevant Health Specialist, and all health-related decisions remain solely the responsibility of the user and the Health Specialist.

Healz.ai does not supervise, direct, control, or influence the professional judgment or clinical decision-making of Health Specialists.

16. Indemnification

You agree to indemnify and hold harmless MAIA AI LTD, its staff, contractors, and affiliates from any claims, losses, damages, or liabilities (including legal fees) arising from:

  • Your use of the platform or violation of these Terms
  • Your uploaded content
  • Your interactions with any Health Specialist or Medical Center
  • Your violation of any applicable law or third-party rights

17. Service Availability

We do not guarantee uptime or uninterrupted access to the platform.

We are not liable for downtime, data loss, or output failures.

18. Force Majeure

18.1. Healz.ai shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including but not limited to: acts of God, natural disasters, pandemics or epidemics, war, terrorism, civil unrest, government actions or restrictions, labor disputes, power outages, internet or telecommunications failures, cyberattacks, failures of third-party service providers, or any other event that could not have been reasonably foreseen or prevented.

18.2. In the event of a force majeure occurrence, Healz.ai's obligations under these Terms shall be suspended for the duration of the event. We will use reasonable efforts to notify users of any significant service disruption and to resume normal operations as soon as practicable.

18.3. If a force majeure event continues for more than ninety (90) consecutive days, either party may terminate the agreement by providing written notice to the other party.

19. Dispute Resolution and Arbitration

Any dispute arising out of or in connection with these Terms shall be finally resolved by arbitration under the LCIA Rules. The seat of arbitration shall be London, England, and the language shall be English. Either party may seek interim or injunctive relief from the courts of England and Wales.

20. Modifications

Terms may be updated with notice via the platform.

21. Governing Law

These Terms are governed by the laws of England and Wales.
